Gaming giant Nazara Technologies has announced the establishment of a new subsidiary, Nazara Technologies UK Ltd, in the United Kingdom. This strategic move is aimed at expanding the company’s gaming operations in the UK and leveraging new market opportunities.

Strategic Expansion in the UK Market

In a recent filing, Nazara Technologies emphasized that the creation of Nazara UK aligns with its broader strategic objectives. The company’s official statement highlighted, “The incorporation of Nazara UK aligns with the company’s strategic objectives to expand its existing gaming business in the UK.” This new subsidiary, wholly owned by Nazara Technologies, has been set up with an authorized share capital of GBP 100 (approximately INR 10,683), comprising 1 Lakh shares at GBP 0.001 each.

Leadership Changes and New Ventures

In a related development, Nazara Technologies announced that Dhaval Sheth, the head of strategic initiatives, has resigned. Sheth has now taken on the role of CEO and Chief Financial Officer (CFO) at Paper Boat Apps, the company behind the popular children’s digital learning app, Kiddopia. This transition follows Nazara’s recent acquisition of an additional 48.32% stake in Paper Boat Apps for INR 300 Cr, bringing its total shareholding to 100%.

Expanding Horizons with Acquisitions

Nazara’s new UK-based subsidiary is set to play a crucial role in expanding the company’s operational footprint and penetrating new markets. This move is part of a larger strategy where Nazara has been aggressively acquiring companies to bolster its market position. Last month, Nazara’s esports arm, NODWIN Gaming, acquired an additional 43.49% stake in the Germany-based marketing services company Freaks 4U Gaming for INR 212.9 Cr. This acquisition underscores Nazara’s commitment to strengthening its presence in the global gaming and esports sectors.

Recent Acquisitions and Market Position

Adding to its portfolio, Nazara’s subsidiary Nextwave Multimedia recently completed the acquisition of the casual freemium card game “UTP – Ultimate Teen Patti.” These strategic acquisitions are aimed at diversifying Nazara’s gaming offerings and enhancing its market competitiveness.

Financial Performance and Market Outlook

Despite these expansion efforts, Nazara Technologies reported a significant decline in its consolidated net profit, which plummeted by 98% to INR 18 Lakh in the fourth quarter (Q4) of the financial year 2023-24 (FY24), down from INR 9.4 Cr in the same period the previous year. The company’s operating revenue also fell by 8% year-on-year (YoY) to INR 266.2 Cr for the quarter ended March 2024.
